When Owner's Disagree: The Power of a Unanimous Shareholders Agreement

Many leaders assume that good relationships and shared history are enough to protect the future of their company. This session challenges that assumption by unpacking one of the most critical—but often overlooked—legal and leadership tools in private corporations: the Unanimous Shareholder Agreement (USA). Leaders will gain a clear, practical understanding of how corporations are governed, where shareholder power truly sits, and why unresolved decision gridlock, misaligned expectations, and poorly planned exits quietly destroy value.

Through real-world scenarios involving death, divorce, business breakups, cash, and succession, this session reveals how a properly structured USA protects shareholders, preserves enterprise value, and prevents costly disputes before they ever arise. Attendees will walk away with a leadership-level understanding of risk exposure, minority shareholder rights, forced sale mechanisms, and succession safeguards—plus greater clarity on the governance gaps that could be silently threatening their business today.
